Terms & Conditions

These terms set out how Inpello works with clients. The specific scope, cost and timeline for any individual project are agreed separately in writing before work begins, and that written agreement takes precedence over anything on this page.

1. Scope of work

Inpello designs and builds a digital product based on the client's brief. A working version is delivered based on the scope agreed before commencement.

2. Pricing and payment

Project cost is fixed and agreed in writing before work starts. Payment is structured as 50% upfront and 50% on delivery of the first working version. Invoices are issued with 14-day payment terms.

Inpello is not obliged to begin work until the initial payment has been received, although work may begin earlier at Inpello's discretion.

3. Timeline

Timelines vary with scope and complexity. The timeline begins only once a sufficient brief and the required materials have been provided, and the initial payment has been received or work has commenced at Inpello's discretion.

Delays in providing content or feedback will pause the timeline.

4. Refinements and changes

Each project includes a set number of refinement credits, stated in the project agreement. Refinements cover edits within the agreed scope. Additional changes are quoted at the time and require approval before proceeding.

5. Cancellation and refunds

Before work begins, any payments made are refunded in full.

After work has started, the initial 50% is non-refundable. The remaining balance may be waived or credited at Inpello's discretion.

Guarantee: if Inpello fails to deliver the agreed scope, the client is entitled to a refund of any outstanding balance.

6. Ongoing maintenance

Where a maintenance agreement applies, the monthly fee is as stated in the project agreement and is paid by recurring card payment or direct debit. It includes hosting, support and system upkeep.

If a payment fails, it must be completed within 7 days. Cancellation requires 30 days' notice, with no rollover of services.

7. Ownership and access

On full payment, the client owns the final delivered product. Inpello retains access to the underlying system while a maintenance agreement is active.

8. Third-party services

Projects may rely on third-party platforms, including AI coding and software hosting systems, and code and database backup services such as GitHub. Inpello is not liable for downtime, service interruptions or failures originating from these third parties.

9. Client responsibilities

The client is responsible for providing accurate content and materials, maintaining login security, and ensuring they hold the rights to all supplied content.

10. Liability

Inpello is not liable for indirect or consequential losses, or for loss of revenue, business or data.

11. Portfolio rights

Inpello may showcase completed work in its portfolio and marketing. Where a client prefers otherwise, this can be agreed in writing.

12. Acceptance

By proceeding with payment or by signing a project agreement, the client accepts these terms.
